Members & Distributors Terms, Conditions, Code of Conduct & Compensation Plan
Effective Date: 1st April

19. Compensation Plan & Commission Structure

African Gem Ltd rewards Members/Distributors for product sales and business development efforts. Earnings are based on performance, sales volume, and adherence to Company policies.

19.1 Eligibility for Commission

To qualify for commissions, a Member/Distributor must:

  • Be an active registered Member/Distributor
  • Purchase or maintain the minimum required product volume (if applicable)
  • Comply fully with all Company rules and policies
  • Submit accurate payment details

The Company reserves the right to verify all qualifying activities.

19.2 Retail Profit

Distributors earn direct retail profit from:

  • Purchasing products at distributor price
  • Selling at recommended retail price

Profit = Selling Price – Distributor Price

19.3 Direct Referral Bonus

Distributors earn a 30% referral commission for introducing new Members/Distributors.

  • Applies to the first purchase made by your direct referral
  • Bonus is paid only on verified and completed transactions

19.4 Team/Network Commission

Distributors earn a 14% commission based on team/network sales:

  • Earn 14% of sales generated by your downline/network
  • Applies only to active and compliant Members
  • Structure may be subject to performance levels or internal guidelines

19.5 Performance Bonuses

African Gem Ltd may offer bonuses such as:

  • Monthly or quarterly sales bonuses
  • Leadership or rank achievement bonuses
  • Incentives for hitting specific targets

These bonuses are discretionary and subject to change.

19.6 Special Promotions

From time to time, the Company may introduce:

  • Limited-time incentives
  • Seasonal campaigns
  • Product-specific bonuses

Participation is subject to the terms of each promotion.

20. Commission Payment Terms

20.1 Payment Schedule

  • Commissions are calculated on a weekly/monthly basis (as determined by the Company)
  • Payments are processed after verification of all qualifying transactions

20.2 Payment Methods

African Gem Ltd will pay qualified Distributors through approved channels such as:

  • Bank transfer
  • Mobile money
  • Other approved digital payment systems

Distributors must provide accurate and complete payment details.

20.3 Minimum Payout Threshold

  • Commissions will only be paid once the Distributor reaches a minimum payout amount of ₦5,000
  • Earnings below this threshold will be carried forward

20.4 Deductions and Adjustments

African Gem Ltd reserves the right to:

  • Adjust commissions for returned, cancelled, or fraudulent transactions
  • Deduct applicable fees, taxes, or penalties
  • Withhold payments under investigation

20.5 Payment Delays

Payments may be delayed due to:

  • Incomplete or incorrect payment details
  • Compliance verification checks
  • System or banking issues

The Company shall not be liable for delays beyond its control.

21. Important Earnings Disclaimer

  • Earnings are not guaranteed and depend on individual effort, consistency, and market conditions
  • Success requires active participation and ethical promotion
  • Any misrepresentation of income potential is strictly prohibited

22. Compliance for Commission Eligibility

To continue earning commissions, Distributors must:

  • Remain active and in good standing
  • Follow all marketing and ethical guidelines
  • Avoid prohibited activities listed in this Agreement

Failure to comply may result in loss of commission rights.

23. Termination and Forfeiture of Earnings

  • If a Distributor’s account is terminated due to misconduct or violation:
    • Pending commissions may be forfeited
  • Voluntary termination may still allow payment of verified earnings, subject to Company review

24. Modification of Compensation Plan

African Gem Ltd reserves the right to:

  • Modify, update, or restructure the compensation plan at any time
  • Adjust commission percentages, bonuses, or qualification criteria

Distributors will be notified of major changes where applicable.

25. Transparency and Fair Use

  • All commissions are tracked using the Company’s system
  • Any attempt to manipulate the system will result in immediate disciplinary action
  • The Company’s calculation of commissions shall be final and binding
